Agreement to Terms
By accessing or using the Calysta Pro EMR platform, website, or any associated services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must discontinue use of the platform immediately.
These terms constitute a legally binding agreement between you and Calysta Pro EMR. The term "you" refers to the individual or entity accessing the platform.
Description of Services
Calysta Pro EMR provides a cloud-based electronic medical records platform designed for aesthetic medicine practices. The platform includes appointment scheduling, clinical documentation, patient communication, payment processing, and HIPAA-compliant data storage.
The base platform is provided at no monthly subscription cost. Payment processing services are subject to a transaction fee of 2.95% per processed payment. Additional paid services, including e-prescription functionality, are available as add-ons with separate pricing.
Account Registration and Responsibilities
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify Calysta Pro EMR immediately of any unauthorized use of your account. Calysta Pro EMR is not liable for losses arising from unauthorized access to your account when such access results from your failure to safeguard your credentials.
Acceptable Use
You agree to use the Calysta Pro EMR platform only for lawful purposes and in accordance with these terms. You may not use the platform to transmit harmful code, interfere with other users, or violate applicable healthcare regulations.
You are solely responsible for all patient data entered into the platform. You must ensure that your use of the platform complies with HIPAA, state privacy laws, and any other applicable regulations governing patient health information.
Payment Terms
Calysta Pro EMR charges a transaction fee of 2.95% on payments processed through the integrated payment system. This fee is deducted from each transaction before settlement to your designated account.
Add-on services are billed according to their published pricing at the time of enrollment. Calysta Pro EMR reserves the right to modify pricing for add-on services with 30 days written notice.
Intellectual Property
All content, features, and functionality of the Calysta Pro EMR platform — including software code, design, text, graphics, and logos — are the exclusive property of Calysta Pro EMR and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of all patient data and clinical content you enter into the platform. Calysta Pro EMR does not claim ownership of your data.
Data Handling and Privacy
Calysta Pro EMR processes and stores data in accordance with its Privacy Policy and HIPAA requirements. By using the platform, you acknowledge that you have reviewed the Privacy Policy and consent to its terms.
Calysta Pro EMR maintains HIPAA-compliant cloud infrastructure with encryption at rest and in transit, automatic backups, and audit logging. For complete details on data handling practices, refer to the Calysta Pro EMR Privacy Policy.
Disclaimer of Warranties
The Calysta Pro EMR platform is provided on an "as is" and "as available" basis. Calysta Pro EMR makes no warranties, express or implied, regarding the platform's fitness for a particular purpose, merchantability, or uninterrupted availability.
Calysta Pro EMR does not guarantee that the platform will be error-free or that defects will be corrected within any specific timeframe.
Limitation of Liability
To the maximum extent permitted by applicable law, Calysta Pro EMR shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
Calysta Pro EMR's total liability for any claim arising from these terms or your use of the platform shall not exceed the total fees paid by you to Calysta Pro EMR during the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Calysta Pro EMR, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the platform, your violation of these terms, or your violation of any applicable law or regulation.
Modifications to Terms
Calysta Pro EMR reserves the right to modify these Terms of Service at any time. Material changes will be communicated through the platform or via email to registered users at least 30 days before taking effect.
Continued use of the platform after modifications become effective constitutes acceptance of the revised terms.
Termination
Either party may terminate this agreement at any time. You may close your account by contacting Calysta Pro EMR. Calysta Pro EMR may suspend or terminate your access for violation of these terms or for any other reason with reasonable notice.
Upon termination, Calysta Pro EMR will provide you with access to export your data for a period of 30 days. After this period, your data may be deleted in accordance with the Privacy Policy and applicable retention requirements.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the state in which Calysta Pro EMR is incorporated, without regard to conflict of law provisions.
Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by applicable law.
